Mandate contract (vekâlet)
An agreement by which one party undertakes to manage an affair or perform a service for another, owing duties of care and loyalty.
All termsUnder Turkish law, a mandate contract obliges one party (the agent) to manage an affair or perform a service for the other (the principal). Relationships with lawyers, physicians, accountants and many brokerage arrangements are governed by these rules.
The agent must act loyally and diligently, in line with the principal's instructions and interests, but does not guarantee a particular result: a lawyer, for instance, owes careful conduct of the case rather than victory. The agent must also hand over to the principal whatever is acquired in the course of the mandate.
Because the contract rests on mutual trust, either party may end it at any time. Revocation or resignation at an inopportune moment, however, obliges the terminating party to compensate the resulting damage.
Vekâletname ile karıştırılmamalıdır: vekâletname temsil yetkisini gösteren tek taraflı belgedir, vekâlet sözleşmesi ise taraflar arasındaki iş görme ilişkisinin kendisidir.
